Shyner Service Agreement

SHYNIT Shyner Service Agreement

This agreement is between Aku Technologies Inc., which operates SHYNIT ("SHYNIT", "we", "us"), and you, an independent car care professional ("Shyner", "you"). It applies whenever you use the SHYNIT Pro app to find and perform work. Our Terms of Service and Privacy Policy also apply.

1. Our relationship

You are an independent contractor. Nothing in this agreement makes you an employee, partner or agent of SHYNIT. You decide when you are online, where you work within your service area, and which offers to accept. You are free to work for others, including our competitors.

2. Getting approved

Before you can receive offers, you must:

• be at least 18 years old;
• verify your identity through our verification partner;
• consent to and pass a background check, which is renewed every two years;
• provide your details and choose the services you offer;
• complete the SHYNIT certification course; and
• for any service that requires one, upload a valid certificate and have it approved.

You must keep your documents current. If a required document expires, you are taken offline until you upload a current one.

3. Offers and bookings

We send you offers for bookings that match your services, location and availability. Each offer shows the service, location and your payout before you accept. Once you accept, you agree to arrive within the booked window and perform the service described.

4. Doing the work

You agree to perform each service with care and to the standards taught in the certification course, to take the proof photos the app asks for, to treat customers and their property with respect, and to report any damage or problem through the app straight away.

5. Equipment and expenses

You supply your own equipment, products and transport, and you pay your own costs, except where the app states that a cost is reimbursed. Fuel for a fuel delivery is reimbursed to you in full.

6. Getting paid

• Your payout for each service is shown in the app before you accept the offer.
• 100% of any tip goes to you.
• Payouts are made through Stripe to the bank account you connect, on the schedule you choose in the app. Instant payouts are available for the fee shown in the app.
• SHYNIT collects payment from the customer. You must not ask customers to pay you directly for work found through SHYNIT.

7. Taxes

You are responsible for your own taxes. We, or our payment processor, will issue tax forms where the law requires it.

8. Insurance

9. Safety

The app includes safety check-ins and an SOS button. If you raise an SOS or miss a check-in, we alert your emergency contacts and the SHYNIT safety team and share your location with them.

10. Customer information

Use customer information only to complete the booking it came with. Do not contact customers outside the app for work found through SHYNIT, and do not keep or share photos of customers' vehicles except as the app requires.

11. Ratings, suspension and deactivation

Customers rate each booking. We may suspend or deactivate your account for safety concerns, fraud, repeated serious complaints, expired documents, or breaking this agreement. Where we can do so safely, we will tell you why and give you a chance to respond. [To be confirmed: appeal process.]

12. Ending this agreement

You can stop using SHYNIT, or delete your account, at any time. We may end this agreement under section 11 or on reasonable notice. Payouts you have already earned will still be paid.

13. Governing law and disputes

This agreement is governed by the laws of the State of Louisiana. [To be confirmed: venue, and whether disputes go to arbitration.]

14. Changes

We may update this agreement. When we do, the version shown in the app changes, and we will tell you before material changes take effect.
